Welcome to GCSE Maths Accelerator, provided by LGMB Ventures Ltd. This agreement outlines the terms and conditions between us (the "Company") and you (the "Client"). By making a payment and accepting our terms and conditions, you agree to abide by these terms. Please read them carefully.

**2. Services**

Our GCSE Maths Accelerator program includes live teaching lessons, office hours, exam practice classes, one-on-one coaching, and other tutors may conduct lessons and help sessions. We also provide access to recorded videos. Together, these services are referred to as "Materials." You can use these services as long as you follow this agreement.

**3. Payment and Access**

- **Becoming Part of Our Learning Community:** By making a payment and accepting our terms and conditions, you're not just getting access to our services; you're also becoming part of our learning community. Here's why:

- **Our Limited Seats:** Just like a classroom with a limited number of seats, our programs have finite seats available. When you pay, you secure one of these seats.

- **Immediate Access:** Your payment grants you immediate access to all our valuable resources and support. It's like getting a key to unlock the door to your educational journey.

- **Refunds:** We want to clarify our refund policy:

a. If you decide to drop GCSE Maths, we won't give you a refund.

b. If you're in a boarding school, and the school convinces you not to use external tutoring, we won't give you a refund.

c. If the lesson times no longer work for you, you won't get a refund.

d. We don't offer any refunds under any circumstances.

This way, we can ensure that those who are truly committed have the opportunity to benefit fully from our services.

**4. Term and Termination**

This agreement starts when you make a payment and lasts until it's terminated.

- **Termination by Client:** You can end this agreement at any time by giving us 30 days' written notice. You must pay any outstanding fees.

- **Termination by Company:** We can end this agreement if you breach the terms, act in a harmful manner, violate laws, infringe on others' rights, or become insolvent.

- **Discontinuation:** We can also discontinue our program and services with one year's notice. You'll still have access to recorded materials until the discontinuation date.

**5. Representations and Warranties**

- **Company's Promises:** We promise that we have the right to provide our services, won't violate any agreements, and will deliver services professionally.

- **Client's Promises:** You promise that you have the authority to enter this agreement and will use our services only for your own educational purposes.

- **Limitations:** We don't guarantee specific results from our services, and any breach of our promises can be fixed by re-performing the services.

**6. Assignment**

You can't transfer this agreement or your rights without our written approval.

**7. Proprietary Rights and Licenses**

We own the services and materials. You can't use them for anything other than your own educational purposes. Unauthorized use can lead to legal action.

**8. Limitation of Liability and Waiver of Subrogation**

- **Limit on Damages:** We won't be responsible for indirect damages like lost profits, data loss, or business reputation.

- **Maximum Liability:** Our total liability under this agreement will not exceed the amount you paid us in the last six months.

**9. Indemnification**

You agree to protect us from any claims or costs arising from your breach of this agreement or your use of our services.

**10. Independent Contractors**

We and our tutors are independent contractors, not partners or employers.

**11. Force Majeure**

If something beyond our control (like natural disasters or wars) disrupts our services, neither of us will be held responsible.

**12. General Terms and Conditions**

- **Entire Agreement:** This agreement is the whole deal between us and replaces any earlier agreements.

- **Nonexclusive:** This agreement doesn't stop us or you from making similar agreements with others.

- **Headings:** Headings are for reference only and don't affect the agreement.

- **Third Party Benefit:** This agreement is only for us and you, and doesn't benefit anyone else.

- **Survival:** Certain sections of this agreement, like payment, confidentiality, and liability limits, will continue even after the agreement ends.

- **Mutuality:** Both of us have reviewed and accepted this agreement.

- **Notice:** Any official notices should be in writing and sent to the provided addresses.

- **Severability:** If any part of this agreement is found invalid, the rest still applies.

- **Counterparts:** This agreement can be signed electronically and in multiple copies.

**13. Law and Jurisdiction**

This agreement is governed by the laws of the United Kingdom, and any disputes will be handled by the United Kingdom Courts.
